1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Roviant ("Company," "we," "us," or "our") governing your access to and use of the Roviant website, as well as any related applications, software, products, and services offered by Roviant (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page with a new effective date.   • Enterprise SaaS applications
  • AI & Automation solutions
  • Data Analytics services
  • Consulting and implementation services

We reserve the right to modify, suspend, or discontinue any portion of our Services at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

5. User Accounts

Some of our Services may require you to create an account. When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Notify us immediately of any unauthorized use of your account or any other breach of security;
  • Ensure that you exit from your account at the end of each session when accessing the Services on a shared computer; and
  • Take responsibility for all activities that occur under your account.

We reserve the right to disable any user account at any time, in our sole discretion, if we believe you have violated these Terms or if we determine that your actions may cause legal liability for you, other users, or Roviant.

6. Intellectual Property

6.1 Our Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, audio, design, and the design, selection, and arrangement thereof (collectively, "Content"), are owned by Roviant, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in the Services or our Content. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our Content without our express prior written consent.

6.2 Trademarks

The Roviant name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Roviant or its affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

6.3 Your Content

You retain all rights in any content that you submit, post, or display on or through the Services ("Your Content"). By submitting, posting, or displaying Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display Your Content in connection with providing and improving the Services.

You represent and warrant that:

  • You own or have the necessary rights to use and authorize us to use Your Content as described in these Terms; and
  • Your Content does not violate the privacy rights, publicity rights, copyright, contractual rights, intellectual property rights, or any other rights of any person or entity.

7. Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • To impersonate or attempt to impersonate Roviant, a Roviant employee, another user, or any other person or entity;
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm Roviant or users of the Services;
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services; or
  • To attack the Services via a denial-of-service attack or a distributed denial-of-service attack.

8. Third-Party Services

The Services may contain links to third-party websites or services that are not owned or controlled by Roviant. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Roviant shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROVIANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ROVIANT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ROVIANT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Roviant, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any legal action or proceeding relating to your access to, or use of, the Services or these Terms shall be instituted in a state or federal court in the United States, and you agree to submit to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and Roviant regarding your use of the Services and supersede all prior and contemporaneous written or oral agreements between you and Roviant.
